Due Diligence in Uganda: Quick Answers
Raven Africa provides corporate due diligence in Uganda for organisations considering whether to pay, appoint, acquire, invest in, contract with or partner with a Uganda business. The objective is to identify material facts, gaps and red flags before commitment—not merely to collect documents.
| Question | Quick answer |
|---|---|
| What can be checked? | Corporate identity/status, registration records, ownership and control, directors and principals, licensing where relevant, litigation/public records where verifiable, sanctions/PEP exposure, adverse information, operating presence, reputation, counterparties and field-verifiable claims. |
| Who is it for? | Investors, companies, NGOs, law firms, financial institutions, procurement teams and organisations appointing agents, suppliers, distributors or local partners. |
| Is a registry search enough? | No. A company search answers what available official records show. Due diligence asks whether the entity appears legitimate, appropriately controlled, operational and suitable for the proposed relationship. |
| What is delivered? | A source-linked report separating verified facts, unresolved gaps, inconsistencies, red flags and practical follow-up actions. |
Information check: 20 September 2026. Scope and access depend on the entity, sector, jurisdiction, source availability and any lawful restrictions on records or personal data.
Why Company Registration Alone Is Not Due Diligence
URSB is the statutory registration authority for companies and other business entities in Uganda. Its online services include company registration, continuous filings, certification and paid business-registry searches; URSB also publishes a specific workflow for obtaining company or business search reports.
Uganda company law requires annual returns, so the usefulness of registry evidence depends partly on the currency and completeness of filings. Registry information should therefore be read as filed evidence, not as proof by itself that a business is currently operational or commercially reliable.
Raven distinction: registration can establish that an entity appears in an official system. It does not by itself prove current operations, financial capacity, ownership integrity, management reputation, licensing for the proposed activity or suitability for a transaction.
What Corporate Due Diligence in Uganda Can Cover
| Risk area | Typical checks | Decision relevance |
|---|---|---|
| Corporate identity | Legal name, registration particulars, status, registered details and available filings | Confirms whether the counterparty matches the entity being presented |
| Ownership & control | Shareholders, beneficial ownership where lawfully available, directors, controllers and changes | Identifies who ultimately owns, controls or influences the entity |
| Management & principals | Key-person background, directorships, business interests and adverse information | Tests integrity and conflicts attached to decision-makers |
| Regulatory position | Sector licences, registrations, permits and regulator information where relevant and verifiable | Tests whether the business is authorised for the proposed activity |
| Litigation & public records | Relevant court/public record research where accessible and lawful | Identifies disputes, enforcement or recurring legal-risk patterns |
| Sanctions & integrity | Sanctions, PEP, adverse media/information and integrity concerns | Supports compliance and reputational-risk decisions |
| Operating presence | Address, premises, activity, references, local reputation and field checks where required | Tests whether the company exists operationally beyond its paperwork |
How Raven Conducts a Uganda Due Diligence Assignment
- Define the transaction and decision. Confirm the counterparty, relationship, value, locations, deadline and concerns.
- Verify the entity. Review available registry records, corporate documents and identity details.
- Map ownership and principals. Identify directors, shareholders/controllers and key decision-makers from lawful sources.
- Check regulatory and integrity exposure. Review relevant licences, sanctions, PEP and adverse information.
- Test operational claims. Where the decision requires it, verify addresses, premises, references or other field-verifiable claims.
- Triangulate. Compare information across official records, supplied documents and independent sources.
- Report for the decision. Separate verified facts from unresolved claims and state the material red flags, limitations and recommended follow-up.

Due Diligence in Uganda: FAQs
Can Raven verify whether a company is registered?
Yes, where the competent registry and relevant records are accessible. Registration verification is one component of due diligence, not the whole assessment.
Can you verify shareholders or directors?
We can review information lawfully available from official records, supplied documents and appropriate independent sources. Availability and public accessibility vary by record type.
Can the investigation include a site visit?
Where feasible, lawful and proportionate, field verification can be scoped to test addresses, premises, operations or specific factual claims.
Will the report say whether we should proceed?
The report provides decision-relevant findings, red flags and limitations. The commercial decision remains with the client, taking account of its own risk appetite, legal advice and transaction structure.
Need Only the Official Company Record?
If your immediate question is simply what the official registry shows, start with the narrower company-records service rather than commissioning full due diligence.
